Terms for using PAYMESE
These terms govern access to the PAYMESE website, account and marketplace operated by ICSP OÜ, registry code 16454909. Deal-specific fees, confidentiality duties and disclosure permission take effect only through the separately issued terms accepted in a private deal room.
Business use and authority
You must be legally capable of using the service and authorised to act for every organisation you name. You must provide accurate information, keep account access secure and update material changes. You may use one account as a buyer, seller, service provider or partner, but PAYMESE may require additional identity, ownership, funding, sanctions, licence or authority checks before a particular action.
Listings and enquiries
Client-submitted listings are anonymous teasers reviewed for publication. Buyers, sellers and service providers remain anonymous. Names, brands, links and contact details are excluded from every public teaser. Review is not verification, valuation, endorsement or a regulatory opinion. You must not submit unlawful, misleading, infringing or unauthorised material, personal passwords or unnecessary identity documents. PAYMESE may edit an anonymous teaser with the submitter’s visibility, request changes, reject it, pause it or withdraw it where risk or quality concerns arise.
Introductions and fees
An enquiry does not reveal the counterparty and creates no success-fee obligation by itself. Before an introduction, the deal room shows each party’s fee, calculation basis, payment event, tax treatment, confidentiality text and disclosure terms. Each party records its own decision against the exact version. A fee becomes due only under those accepted deal-specific terms.
Regulated opportunities
A reference to a licence, registration, authorised company or financial service does not mean that a permission can be transferred independently. Transactions may require a company or share acquisition, fresh application, change-of-control approval, regulator notice, fit-and-proper assessment, banking review or other consent. Users must obtain their own legal, tax, financial and regulatory advice.
Availability and suspension
PAYMESE may restrict access to protect participants, investigate misuse, comply with law or repair the service. Reasonable efforts are used to preserve records and availability, but uninterrupted access is not guaranteed. Users must keep their own copies of material they are legally required to retain.
Liability and governing law
Nothing excludes liability that cannot lawfully be excluded. Subject to that rule, PAYMESE is not responsible for a participant’s underlying investment or transaction decision, a counterparty’s conduct, or a third party’s licensing, banking or approval decision. These website and account terms are governed by Estonian law, and disputes are submitted to the competent courts of Estonia unless mandatory law provides otherwise.
